Terms of Service

Welcome to Ciphers (operated by CodeWeavers Technologies Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at VO-824, WeWork Vaswani Chambers, 1st Floor, 264-265, Dr Annie Besant Rd, Municipal Colony, Worli Shivaji Nagar, Worli, Mumbai, Maharashtra 400030, India).

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client”, “User”, or “you”) and Ciphers (“we”, “our”, or “us”) governing your access to and use of our websites, services, software, and solutions (collectively, the “Services”).

1. Acceptance of Terms

By accessing or using our Services, you:

• Acknowledge that you have read, understood, and agree to be bound by these Terms.

• Represent that you have the authority to bind the organization you represent (if applicable).

• Agree to comply with all applicable laws and regulations in India and any other jurisdiction relevant to your use of our Services.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract. If you are using the Services on behalf of a legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

3. Scope of Services

Ciphers provides technology services that are tailored based on client requirements, including but not limited to:

• Custom software development,

• API services,

• System integration,

• Data and analytics solutions,

• Managed services and maintenance,

• Consulting and technical support.

Each engagement will be governed by separate contracts, statements of work (SOW), proposals, or service level agreements (SLAs), where applicable.

4. Account & Access

You may need to register or authenticate before accessing certain services. You are responsible for:

• Maintaining confidentiality of your credentials,

• All activity under your account.

You agree to notify us immediately of any unauthorized access.

5. Client Responsibilities

You agree to:

• Provide accurate and complete information,

• Cooperate in good faith,

• Not use the Services for unlawful or unethical purposes,

• Ensure that your use of the Services complies with all applicable laws (including the Information Technology Act, 2000 and data protection laws).

6. Intellectual Property

Unless otherwise agreed in writing:

• All software, documentation, designs, code, processes, trademarks, or other intellectual property created by Ciphers during the engagement shall remain the sole property of Ciphers.

• If services involve development for the client, IP ownership will be governed by the engagement contract.

You shall not copy, reverse-engineer, or reuse our proprietary material unless explicitly permitted.

7. Confidentiality

Both parties agree to:

• Maintain the confidentiality of all non-public business, technical, or financial information,

• Use such information solely for fulfilling obligations under the engagement.

This clause survives termination of the agreement.

8. Fees & Payments

• All fees are as per the mutually agreed contract or invoice.

• Payments must be made as per the agreed timelines. Delays may attract interest or suspension of Services.

• Unless specified, all fees are exclusive of applicable taxes (including GST).

9. Data Protection & Security

We follow best practices for data protection and confidentiality. However:

• The client is responsible for the integrity and legality of any data shared.

• We are not liable for data breaches caused by third-party platforms, client negligence, or force majeure.

For sensitive projects, a separate Data Processing Agreement (DPA) may apply.

10. Third-Party Services

If our Services integrate with or rely on third-party services, those services are governed by their own terms. Ciphers is not responsible for failures caused by third-party dependencies unless specifically agreed.

11. Disclaimer of Warranties

To the maximum extent permitted under Indian law:

• Services are provided on an “as is” and “as available” basis.

• We make no guarantees regarding availability, reliability, or accuracy unless otherwise stated in a contract or SLA.

12. Limitation of Liability

To the fullest extent permitted by law:

• Ciphers is not liable for any indirect, incidental, or consequential damages,

• Our total liability is limited to the amount paid by the client in the 12 months preceding the claim.

13. Termination

We may suspend or terminate your access:

• For breach of these Terms,

• If required by law,

• Or if you fail to pay fees.

Upon termination, all rights granted to you shall cease. Any outstanding obligations shall survive.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed under the laws of India. The courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any disputes arising from these Terms or the use of our Services.

15. Amendments

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website. Continued use of the Services post-modification constitutes acceptance.
